1. Agreement to Terms
By accessing or using the Cybertrix website (cybertrix.co.za) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our website or services.
2. Services
Cybertrix provides digital services including but not limited to:
- Website and web application development
- Custom software development
- AI automation and business systems
- Digital marketing and SEO
- Brand identity and creative design
- Domain registration assistance
The specific scope, deliverables, and timelines for each project are defined in individual service agreements or proposals provided to the client.
3. Quotations and Proposals
- All quotations are valid for 30 days from the date of issue unless otherwise stated.
- Quotations are based on the requirements as communicated by the client. Changes to scope may result in revised pricing.
- Cybertrix reserves the right to adjust pricing if project requirements change after the quotation is accepted.
4. Payment Terms
4.1 Deposits
A non-refundable deposit is required before work begins. The deposit amount is specified in the project proposal or service agreement. Deposits secure your project slot and cover initial planning, discovery, and setup work.
4.2 Milestone Payments
For larger projects, payment is structured in milestones as outlined in the service agreement. Milestone payments are due within 7 days of invoice.
4.3 Ongoing Services
Retainer, hosting, and maintenance services are billed monthly in advance unless otherwise agreed.
4.4 Late Payment
overdue payments may incur interest at 2% per month. Cybertrix reserves the right to suspend work or services on accounts that are more than 14 days overdue.
5. Refund Policy
No Refunds on Domains or Deposits
- Domain registrations are non-refundable once processed. Once a domain is registered, the fee is paid to the registry and cannot be recovered.
- Deposits are non-refundable. They cover discovery, planning, and project setup costs incurred from the start of the engagement.
- Completed work that has been delivered and accepted is non-refundable.
For project work that has not yet begun (excluding the deposit), you may request cancellation within 48 hours of signing the service agreement. After 48 hours, cancellation is subject to the termination provisions below.
6. Domain Registration
- Domain registration fees are paid in advance and are non-refundable.
- Domains are registered for the term selected (1–10 years) and must be renewed before expiry to avoid loss.
- Cybertrix is not liable for domain loss due to late renewal by the client.
- Domain ownership is transferred to the client upon full payment. Cybertrix may hold domain registration in trust until the project is fully paid.
- Domain transfer fees, if applicable, are the responsibility of the client.
7. Intellectual Property
7.1 Pre-Existing IP
All intellectual property that Cybertrix owned prior to the engagement, including frameworks, code libraries, tools, and methodologies, remains the property of Cybertrix.
7.2 Project IP
Upon full payment, the client receives ownership of custom designs, code, and content created specifically for their project. Cybertrix retains the right to use general knowledge, skills, and non-proprietary techniques gained during the project.
7.3 Portfolio
Cybertrix may display completed work in our portfolio and marketing materials unless the client requests otherwise in writing before project completion.
8. Client Responsibilities
- Provide accurate and complete information required for the project in a timely manner.
- Respond to queries and approve deliverables within the timeframes specified in the service agreement.
- Ensure that all content, images, and materials provided do not infringe on third-party rights.
- Delays caused by the client may result in adjusted timelines and additional costs.
9. Third-Party Services
Our services may rely on third-party platforms, APIs, and services (hosting providers, domain registrars, payment gateways, AI services). Cybertrix is not liable for outages, data loss, or changes caused by third-party providers.
10. Warranties and Limitation of Liability
- We warrant that our services will be performed with reasonable skill and care.
- We provide a 30-day defect warranty on delivered projects, covering bugs and errors in the original specification. This does not cover new features, scope changes, or third-party issues.
- Cybertrix's total liability for any claim arising from our services is limited to the total fees paid by the client for the specific project in question.
- We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity.
11. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of any service agreement.
12. Termination
- Either party may terminate a service agreement with 14 days' written notice.
- Cybertrix may terminate immediately if the client breaches these Terms, fails to make payment, or engages in conduct that makes continuation unreasonable.
- Upon termination, the client must pay for all work completed to date, including any non-refundable deposits and milestone payments.
- Outstanding balances become immediately due upon termination.
13. Website Use
You agree not to:
- Use our website for any unlawful purpose.
- Attempt to gain unauthorised access to our systems or networks.
- Scrape, crawl, or extract data from our website without permission.
- Upload or transmit malicious code, viruses, or harmful content.
- Misrepresent your identity or affiliation.
14. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached within 30 days, the dispute shall be referred to arbitration in Namibia, in accordance with the Arbitration Act of Namibia.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Namibia. Both parties submit to the exclusive jurisdiction of the Namibian courts.
16. Changes to These Terms
Cybertrix reserves the right to revise these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
